Clio Payments – Direct Debit Authorisation Service Agreement

1. Direct Debit Authorisation Service Agreement 

  1. This Direct Debit Authorisation Service Agreement (“Agreement”) forms part of the terms of your Direct Debit Request (“DDR”) and should be read in conjunction with the Clio Payments Sign Up and terms of service.
  2. By providing your consent in the DDR, you are agreeing to allow Clio to debit fees from your operating account from time to time for the provision of the Clio Payments service (as defined in clause 14 of the Clio APAC Terms and Conditions). You acknowledge that the fees will be debited intermittently and at varying amounts, representing a percentage of each transaction settlement amount.   

2. Changing your DDR Authority 

  1. You will be provided with at least 14 days’ notice if there is to be a change to any of the terms of this Agreement. If you do not agree to this change, you may choose to vary your DDR in accordance with clause 3.

3. Amending your DDR 

  1. You may defer, alter, stop, suspend or cancel your DDR at any time by providing Clio with at least 5 business days’ notice by contacting us at [email protected]. We will then promptly verify and process the notice, following which we will provide you with confirmation of the DDR variation.
  2. Alternatively, you may contact your financial institution.

4. DDR Dispute Resolution 

  1. If you wish to dispute a DDR transaction, you may do so by contacting us at [email protected] within 7 days of the transaction. We will arrange for an investigation into your disputed transaction and, where appropriate, make any relevant corrections.  
  2. Alternatively, you may contact your financial institution.

5. Your Account

  1. You should be aware that not all financial institutions allow a DDR to be processed to certain types of accounts. 
  2. You should check your account details against a recent statement of your financial institution to ensure that a DDR can be processed to your account. If uncertain, you should check with your financial institution before providing us with your account details and completing the DDR. 
  3. It is your responsibility to have sufficient clear funds available in your account to enable the debit items to be paid in accordance with the relevant DDR.

6. Non-Business Days

  1. If your DDR falls due on a weekend or public holiday, it will be processed the following business day.
  2. If you are uncertain of the date your DDR will be processed, you should contact us at [email protected] or your financial institution. 

7. Returned DDRs

  1. If debit items are returned unpaid by your financial institution, we reserve the right to recover the funds from you and to charge a fee for dishonouring the DDR. 

8. Privacy

  1. We will not disclose any details of your DDR to any person or corporation unless required to do so in connection with a legal claim made on that DDR relating to an alleged incorrect or wrongful debit.
