Clio Payments Summer 2022 Promotion Terms & Conditions*

This is a limited-time offer for eligible Subscribers that activate Clio Payments in their Clio Manage account during the course of the promotion period.

These promotional terms are in addition to the Clio Terms of Service located at clio.com/tos which govern Eligible Subscribers’ use of Clio Payments and the Clio Services

1. “Eligible Subscribers” are Subscribers who:

a. are current Subscribers of Themis Solutions Inc.’s Clio Manage application during the promotion period.

b. have a merchant account utilizing a payment processor that integrates with Clio Manage rather than Clio Payments offered by Themis Solutions Inc. at the start of the promotion period. Eligible Subscribers agree to provide proof of a merchant account upon request.

c. agree to the Clio Payments terms available here upon enrollment.

2. “Promotion Period”

a. This offer is valid for Eligible Subscribers starting May 11, 2022 through July 31, 2022.

b. Eligible Subscribers must successfully complete an activation of Clio Payments in their Clio Manage accounts by the end of the promotion period.

3. Conditional Discount or Rebate

a. Eligible Subscribers will receive one of the following discounts or rebates as outlined below:

i. “Monthly Discount”: Eligible Subscribers that currently pay a monthly subscription fee for Clio Manage will receive a one-time, additional discount of 25% off their current subscription price for Clio Manage for the next twelve (12) monthly fee payments. This discount can be combined with existing discounts. The Monthly Discount will be calculated using the discounted total if applicable. Total discounts on the Clio Manage subscription may not exceed 50% of the subscription price without discount. This Monthly Discount will be scheduled to be applied starting with the next monthly subscription fee payment available no sooner than 15 days following activation of Clio Payments by the Eligible Subscriber. At the end of twelve monthly fee payments, the subscription price reverts to the previous monthly subscription fee, including any discounts previously applied to the subscription prior to the promotion period.

      1. The additional discount will be revoked if the Eligible Subscriber deactivates Clio Payments during the twelve (12) months following the promotion period. Eligible Subscriber’s subscription price will revert to the previous monthly subscription fee with discounts previously applied to the subscription prior to the promotion period on their next eligible monthly subscription payment.
      2. Failure to process payments using Clio Payments may result in the Monthly Discount being removed for the next eligible monthly subscription payment.

ii. “Annual Conversion Discount”: Eligible Subscribers that currently pay a monthly subscription fee for Clio Manage may elect to convert their payments to an annual subscription payment at the same time as the activation of Clio Payments. Eligible Subscribers that elect to convert to an annual subscription will receive both the annual subscription discount pricing and the additional, one-time discount of 25% for their first annual subscription payment. This discount can be combined with other existing discounts. The one-time, additional 25% discount will be calculated using the discounted total if applicable. Total discounts on the Clio Manage subscription may not exceed 50% of the subscription price without discount.The Annual Conversion Discount will be applied starting with the next annual subscription fee payment.

    1. Eligible Subscribers must book an appointment with a Clio account manager prior to converting to annual subscription payments or activating Clio Payments to obtain these concurrent discounts.
    2. The Annual Conversion Discount will be revoked if the Eligible Subscriber deactivates Clio Payments during the twelve (12) months following the promotion period. Eligible Subscribers agrees that Themis Solutions Inc. may charge the Subscriber a one-time subscription fee for the difference between the Annual Conversion Discount subscription price and the subscription price without the Annual Conversion Discount for the remaining months left in the twelve (12) month period of the annual subscription.
    3. Failure to process payments using Clio Payments may result in the Annual Conversion Discount being revoked. Eligible Subscribers agrees that Themis Solutions Inc. may charge the Subscriber a one-time subscription fee for the difference between the Annual Conversion Discount subscription price and the subscription price without the Annual Conversion Discount for the remaining months left in the twelve (12) month period of the annual subscription.

iii. “Annual Rebate”: Eligible Subscribers that currently pay an annual subscription fee for Clio Manage will receive a rebate equal to 25% of their last annual Clio Manage subscription fee payment.

    1. Eligible Subscribers must book an appointment with a Clio account manager prior to activating Clio Payments to obtain this Annual Rebate.
    2. The Annual Rebate will be disbursed in three (3) installments that total 25% of their last annual subscription fee payment. The payments will be made in the amounts listed in the months listed below.
      1. a. The first rebate payment will be made within August, 2022. This payment will be 6.25% of the Eligible Subscriber’s last annual subscription fee payment.
      2. b. The second rebate payment will be made within December, 2022. This payment will be 6.25% of the Eligible Subscriber’s last annual subscription fee payment.
      3. c. The third rebate payment will be made within April, 2023. This payment will be 12.50% of the Eligible Subscriber’s last annual subscription fee payment.
    1. 3. Rebate payments require that Clio Payments remain active in the Eligible Subscriber’s Clio Manage account for the entirety of the twelve (12) months following the promotion period. Deactivation of Clio Payments will result in the Eligible Subscriber being ineligible for any remaining Annual Rebate payments. Failure to process payments using Clio Payments may result in the Eligible Subscriber being ineligible for any remaining Annual Rebate payments.
    2. 4. Eligible Subscribers are responsible for paying any and all taxes that may be associated with receiving Annual Rebates.
  1. iv. Rebate payments will be remitted via the original payment method.

4. Clio Payments Activation

a. To automatically obtain the additional, one-time discount or rebate, Eligible Subscribers must schedule an appointment with a Clio account manager prior to activating Clio Payments.

i. During activation, Eligible Subscribers must complete the application form by filling in the following details:

        1. Firm details include: Business Type, Business Name, Employer Identification Number (if applicable), Business email, phone number and address.
        2. Personal information for all firm owners with at least 25% ownership including: Name, Date of Birth, Social Security Number, Email, Phone Number, Home Address.

ii. Eligible Subscribers must connect their firm bank account and provide routing numbers for at least one operating account.

b. Eligible Subscribers that activate Clio Payments in their account without scheduling an appointment with a Clio account manager prior to activating Clio Payments may not have a discount or rebate automatically applied. In such events, the Eligible Subscriber must contact Clio Support to request that this additional, one-time discount be applied.

i. The additional, one-time discount will be applied starting with the next subscription payment and will continue through twelve (12) months from this subscription payment, starting after either July or August, 2022. No refunds will be issued for any period prior to the request from the Eligible Subscriber.

ii. Eligible Subscribers receiving the Annual Rebate will only be eligible for those remaining rebate payments scheduled. No additional rebates will be issued for Eligible Subscribers that miss a scheduled rebate payment due to failure to notify Clio Support.

5. Clio Account Termination

a. Eligible Subscribers receiving Annual Rebates will no longer receive any outstanding Annual Rebate payment if they cancel their Clio Manage subscriptions.

6. Disputes

a. Themis Solutions Inc. is the sole authority on continued eligibility for discount and rebate access for Eligible Subscribers.
