OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. MAKING A PURCHASE WILL NOT AFFECT YOUR CHANCES OF WINNING. MUST BE A LEGAL RESIDENT OF ONE OF THE 50 UNITED STATES OR WASHINGTON D.C., 18 YEARS OLD AND AGE OF MAJORITY OR OLDER, IN STATE OF RESIDENCE, AT DATE OF ENTRY INTO THE SWEEPSTAKES. ENTRY IN THE SWEEPSTAKES CONSTITUTES ACCEPTANCE OF THESE OFFICIAL RULES. VOID IN PUERTO RICO, ALL U.S. TERRITORIES AND POSSESSIONS AND WHERE PROHIBITED BY LAW.

DESCRIPTION OF THE SWEEPSTAKES:

This sweepstakes (the “Sweepstakes”) will accept entries from February 26, 2020 7:00 AM CT through February 28, 2020 3:00 PM CT (“Sweepstakes Period”). The Sponsor’s computer system is the official time-keeping device for the Sweepstakes. A total of one (1) prize will be awarded during the Sweepstakes Period. Limit of one (1) entry per person during the Sweepstakes Period. Odds of winning shall depend on the number of eligible entries received during the Sweepstakes Period.

SPONSOR:

The Sweepstakes is being sponsored and administered by Themis Solutions Inc. DBA Clio (“Sponsor”), 300-4611 Canada Way, Burnaby, BC V5G 4X3 (the “Sponsor”).

ELIGIBILITY:

The Sweepstakes is ONLY open to ABA TECHSHOW (TECHSHOW) registered attendees only, who are legal residents of the United States and Washington, D.C., at least 18 years of age or older at time of entry as of the date of entry to the Sweepstakes, except any individuals (including but not limited to employees, consultants, independent contractors and interns) who have, within the past 6 months from the start of the Sweepstakes Period, held employment with or performed services for the Sponsor, or a subsidiary, affiliate or successor company of the Sponsor (as applicable), and immediate family members or members of the same households (parents, step-parents, legal guardians, children, step-children, siblings, step-siblings, or spouses, whether related or not) of such persons at any time during the Sweepstakes Period.

HOW TO ENTER:

During the Sweepstakes Period entrants must submit their entry into the Sweepstakes by completing and depositing the entry form available at the Sponsor’s booth, Clio Booth 700, in the TECHSHOW EXPO hall during exhibition hours. All required fields on the entry form must be completed, including the Entrant’s full legal name and work email address to be eligible. Incomplete entries will not be accepted and will be automatically rejected. There is a limit of one (1) entry per individual. Additional entries received from any individual beyond the first entry received from that individual will be void. All entries and any requested information become the property of the Sponsor, and none will be acknowledged or returned. No third party entry is permitted. Any individual who attempts or otherwise encourages, directly or indirectly, the entry of multiple or false contact information under multiple identities, multiple email accounts, or uses any device or artifice to enter or encourage, directly or indirectly, multiple or false entries, as determined by the Sponsor, will be disqualified. If, in the Sponsor’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Sweepstakes, or if a computer virus, bug, unauthorized intervention, fraud, technical difficulties, or failures compromise or corrupt or affect the administration, integrity, security, fairness, or proper conduct of the Sweepstakes, and/or the Sweepstakes is not capable of being conducted as described in these Official Rules, the Sponsor shall have the right, at its sole discretion, to disqualify any individual who tampers with the entry process and to void any entries submitted fraudulently, and/or to cancel, terminate, modify or suspend the Sweepstakes, and conduct a random drawing to select the prize winner from all non-suspect entries received prior to action taken, or as otherwise deemed fair and appropriate by the Sponsor. If the Sweepstakes is cancelled, modified, suspended or terminated, notice will be posted on at the Sponsor’s Booth, Clio Booth 700. The Sponsor reserves the right to prosecute any fraudulent entries to the fullest extent of the law. At the Sponsor’s sole discretion, Sweepstakes winner may be disqualified at any time.

AGREEMENT TO OFFICIAL RULES:

Participation in the Sweepstakes constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules. Winning a prize is contingent upon fulfilling, as determined by the Sponsor, all requirements set forth herein.

PRIZES:

Entrants are eligible to win one Grand Prize of (1) one thousand dollar ($1,000) prize, or one (1) of six (6) copies of The Client-Centered Law Firm to be awarded at specific times throughout the 2020 ABA TECHSHOW conference. Each winner will receive one (1) prize.

WINNER SELECTION/NOTIFICATION:

One (1) winner will be selected by competing in two (2) Sweepstakes tasks. Two (2) finalists will be chosen from the two (2) Sweepstakes tasks, and the one (1) winner to complete in a final one (1) task will be awarded a prize.

To be eligible to win, Entrants must complete the following activities and be selected to participate in the Sweepstakes’s task rounds.

  2. If selected, Entrant submissions will participate in a qualifying interview held during the TECHSHOW event. Entrants unable to participate in a qualifying interview at a time set by the Sponsor will be deemed ineligible and removed from the competition.
  3. Selected Entrants must participate in a round of Sweepstakes’s tasks at a set time, to be eligible to compete for the Grand Prize.
    1. Selected Entrants must participate in one of the two rounds of Sweepstakes tasks below, held at Sponsor’s TECHSHOW booth, Booth 700:
      1. Round 1: Thursday February 27, 1:00 pm to 2:00 pm CT
      2. Round 2: Thursday February 27, 3:00 pm – 4:00 pm CT
    2. Entrants selected to participate in a Sweepstakes task may be eligible to advance to a final round and a chance to win the Grand Prize. To advance, the winning entrant must complete all Sweepstakes tasks and will be judged based on both speed and accuracy in completing the assigned tasks. Sponsor is the sole judge for selected advancing entrants in the Sweepstakes tasks round.
    3. Failure to participate in a Sweepstakes task round will result in the Entrant being disqualified with no right to appeal
  4. Entrants deemed to have won either round of the Sweepstakes tasks are eligible to win the Grand Prize.
    1. To win the Grand Prize, selected Entrants must participate in a Final Round, to be held at Sponsor’s TECHSHOW booth, Booth 700 on Friday, February 28, 2:00-3:00 PM CT.
    2. Only one entrant will win the Grand Prize in the Final Round. The Grand Prize winner will be the entrant that is first to correctly answer the most trivia questions presented by the Sponsor. Sponsor will be the sole authority as to the questions presented and as to which answers are considered correct.
    3. Failure for the selected Entrant to participate in the Final Round will result in the Entrant being disqualified with no right to appeal.

Winning Entrants are responsible for reporting prize winnings as income to their respective tax authorities.

The potential prize winners will be subject to final verification by the Sponsor. The Sponsor’s decision with respect to the prize winner and other matters pertaining to the Sweepstakes shall be final and binding without any right of appeal. The prize winner will be required to provide proof of age and eligibility.

GENERAL RULES:

By entering, entrants warrant and represent that entrants agree to be bound by these Official Rules (including all eligibility requirements) and the decisions of the Sponsor and Sponsor’s appointed agents, which shall be final and binding in all respects. By entering into the Sweepstakes, each entrant agrees to release, discharge and forever hold harmless any and all claims against the Sponsor and its affiliates (including without limitation its parent, sister and subsidiary companies, partnerships and other commercial entities), its advertising and promotion agencies and any other person directly connected with the production and distribution of or the supply of goods or services in connection with the Sweepstakes (collectively, with the Sponsor, hereinafter referred to as the “Released Parties”) and their respective shareholders, from any and all claims, actions, damages, demands, manner of actions, causes of action, suits, debts, duties, accounts, bonds, covenants, warranties, indemnities, claims over, contracts and liabilities of whatever nature or kind arising out of, or in connection with, the entrant’s participation or attempted participation in the Sweepstakes, compliance or non-compliance with these Official Rules and the delivery, non-delivery, acceptance, use, misuse or non-use of the prize and, if selected as a potential winner, to sign and deliver any requested information or form before receiving his/her prize.

The Released Parties are not responsible or liable for:

(a) any incorrect or inaccurate information, whether caused by entrants, non-authorized human intervention, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes;
(b) technical failures of any kind including, but not limited to, malfunctions, interruptions, or disconnections in phone lines, network hardware or software, cable, satellite, cellular tower, or Internet service provider;
(c) bugs, viruses, worms, unauthorized human intervention in any part of the entry process or the Sweepstakes or any other causes which impair the fairness, integrity or administration of the Sweepstakes (in such event, the Sponsor reserves the right, at its sole option, to modify, terminate or suspend the Sweepstakes);
(d) typographical, printing, network, mechanical, electronic, technical, human or other errors or malfunctions of any kind relating to or in connection with the Sweepstakes including, without limitation, errors or problems which occur in the administration of the Sweepstakes, the processing of entries, the announcement of the prizes or other errors in these Official Rules or in any other Sweepstakes-related materials;
(e) any liability, loss, injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt, use or misuse of any prize; or
(f) lost, incomplete, late, misdirected, garbled, undelivered, incomplete, stolen, or mutilated transactions, subscriptions or entries; or garbled, lost, misrouted or scrambled transmissions. (If for any reason an entrant’s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes.)

THE PARTIES AGREE, ACKNOWLEDGE AND UNDERSTAND THAT THE SPONSOR SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR LOST PROFIT DAMAGES. THE PARTIES AGREE, ACKNOWLEDGE AND UNDERSTAND THAT THE SPONSOR’S TOTAL AGGREGATE LIABILITY FOR ANY MATTER ARISING FROM OR RELATED TO THE SWEEPSTAKES, WHETHER IN CONTRACT, TORT, OR UNDER ANY THEORY OF LIABILITY, SHALL NOT EXCEED THE AMOUNT OF THE ACTUAL OUT-OF-POCKET COSTS INCURRED BY ENTRANT ASSOCIATED WITH ENTERING THE SWEEPSTAKES.

Under no circumstances will Themis Solutions Inc., its affiliates, subsidiaries, and independent contractors, and their respective directors, officers, employees, and agents, including advertising and promotion agencies be required to award more Prizes than what is indicated in these Rules or award the Prizes other than in accordance with these Rules.

The Sweepstakes is subject to all Federal, Provincial and local State laws, as well as the rules adopted in view of said laws.

PRIVACY AND PERSONAL INFORMATION:

By entering this Sweepstakes, each Entrant consents to the collection, use, and disclosure, by Sponsor, of his or her personal information including full name (first and last), contact information for the purposes of commercial communications by the Sponsor. Winning Entrants further consents to the collection, use, and disclosure, by Sponsor, of his or her likeness, and digital photographs for both for marketing and consumer research purposes. and announcement of winners and full name (first and last), and contact information (street address, city, state/province & zip/postal code) for the awarding & delivery of the Prize; and for marketing and consumer research purposes.

Unless noted otherwise, all trademarks used herein are the property of the Sponsor. The names of individuals, groups, companies, products and services mentioned herein, and any corresponding likenesses, logos and images thereof reproduced herein, have been used for identification purposes only and may be the copyrighted properties and trademarks of their respective owners. The mention of any individual, group or the Released Parties, or the inclusion of a product or service as a prize, does not imply any association with or endorsement by such individual, group or the Sponsor or the manufacturer or distributor of such product or service and, except as otherwise indicated no association or endorsement is intended or should be inferred.
