These terms and conditions (“Terms”) govern this limited-time Offer (as defined below) from Themis (Ireland) Limited and its affiliates (dba “Clio”). By accepting this Offer, you agree to be bound by these Terms. These Terms are in addition to the Clio Terms of Service (the “ToS”) which govern your use of Clio products and services (including Clio Payments).  In the event of conflict between these Terms and the ToS, these Terms will prevail, but only with respect to matters specifically related to the Offer.

Eligibility Requirements 

This Offer is valid from November 11, 2025 to December 31, 2025 (the “Offer Period”) for New Subscribers (as defined below), who acknowledge and agree to the Offer Requirements (as defined below).

If you are a New Subscriber during the Offer Period, you will receive a one-time discount (the “Credit”) equivalent to the fees payable by you for the first three months of the relevant Clio services (the “ Offer”).  

“New Subscribers” are subscribers who: (i) at the time of redemption, do not have any active subscription to any Clio product or service; (ii) have purchased the Offer through a Clio Sales Representative during the Offer Period (an “Invitation”); (iii) after receiving an Invitation, purchase and activate an annual subscription to Clio Manage at either the Premium or Suite level prior to the end of the Offer Period (an “Activation”); and (iv) agree to the Clio ToS upon Activation.

The Offer are subject to the following requirements (the “Offer Requirements”), and by accepting this Offer, you acknowledge and agree to all Offer Requirements:

• You must be a New Subscriber, as determined by Clio in its sole discretion. 
• The Offer is for the use of the New Subscriber and may not be transferred to any other person or entity whatsoever and may not be substituted.
• Activations made prior to, or after, the Offer Period, will not be eligible for the Offer.
• If for any reason, you terminate your services prior to the first anniversary of the date of your Activation, Clio may, in its sole discretion, void the Credit, and the full amount of the fees payable for your first year of services will be immediately due and payable (but in any event will be payable within fifteen (15) days).
• The Credit is a one-time credit only, applicable for the first annual term of your services subscription, and there will be no credits for any renewal terms. For certainty, Clio has no obligation to offer any further credits at any point.
• In the event of a dispute, Clio is the sole authority on determining eligibility for the Offer.
• Only New Subscribers who reside in the UK and are 18 years of age, or older, are eligible for each Offer. 
• These terms are governed by the laws of Ireland. All applicable laws and regulations apply. Void where prohibited or restricted by law. PURCHASE NECESSARY. THIS PROMOTION CANNOT BE STACKED OR USED IN COMBINATION WITH ANY OTHER PROMOTION, DISCOUNT, OR OFFER BY CLIO, EXCEPT AS OTHERWISE EXPRESSLY PERMITTED BY CLIO. • Misrepresentation or abuse will result in disqualification for this Offer at the sole discretion of Clio. Clio is not liable for any loss or damage as a result of participation in or acceptance of this Offer, nor inability to claim this Offer due to technical issues on the part of the potential New Subscriber. Clio reserves the right to amend these Terms at any time or to terminate either Offer without notice, with changes communicated to you in writing if, and as, applicable. 
• BY ACCEPTING THIS OFFER, YOU WAIVE ALL RIGHTS TO BRING (AND COVENANT NOT TO BRING) ANY CLAIM AGAINST CLIO OR ANY OTHERS ASSOCIATED WITH THESE OFFERS.
