This is a limited-time offer from Themis Solutions Inc. (dba “Clio) for eligible Subscribers that activate Clio Payments in their Clio Manage account during the course of the Offer Period.
These promotional terms are in addition to the Clio Terms of Service located at clio.com/tos which govern Eligible Subscribers’ use of Clio Payments and Clio Services
1. “Eligible Subscribers” are Subscribers who:
a. are current Subscribers to Clio Manage application during the Offer Period;
b. has never activated the Clio Payments feature in the Subscribers Clio Manage application prior to the beginning of the Offer Period;
c. have been directly invited to participate in this non-transferrable offer through a communication initiated by a Clio employee or official Clio communication channel; and
e. agree to the Clio Payments terms available here upon activation of the Clio Payments feature.
2. “Offer Period”
a. This offer is valid for Eligible Subscribers starting June 1st, 2023 through June 30th, 2023.
b. Eligible Subscribers must successfully complete an activation of Clio Payments in their Clio Manage accounts by the end of the Offer Period.
3. “Free Payment Processing”
a. Eligible Subscribers who successfully activate Clio Payments in their Clio Manage application will not be charged any merchant processing fees on payments processed from credit card or debit card sources for sixty (60) days, the rate change will take effect within one (1) business day of activating Clio Payments.
b. Free payment processing will be applied for the first three hundred thousand dollars ($300,000) in payments processed. Payments processed past this amount will have the standard merchant processing rate of 2.8% applied to any additional transactions, even if the full sixty (60) days have not elapsed.
c. Sixty (60) days after activation, all credit card and debit card payments processed will have the standard merchant processing rate of 2.8% applied.
4. Clio Payments Activation
a. During activation, Eligible Subscribers must complete the application form by filling in the following details:
i. Firm details include: business type, business name, Employer Identification Number (if applicable), business email, phone number, and address.
ii. Personal information for all firm owners with at least 25% ownership including: name, date of birth, Social Security Number, email, phone number, and home address.
b. Eligible Subscribers must connect their firm bank account and provide routing numbers for at least one operating account.
5. Excluded Transactions
a. Eligible Subscriber will only process payments in Clio Payments for the purposes intended. Processing of non-commercial transactions unrelated to the payment of client invoices or collection of funds to be held in trust will result in the immediate termination of free payment processing. Eligible Subscribers agree that Themis Solutions Inc. may charge the Subscriber a one-time processing fee for any non-commercial transactions discovered at a processing rate of 2.8% against the total balance of the transactions .
6. Miscellaneous
a. Clio is not responsible for Stripe’s failure to authorize a Stripe Connected Account for Eligible Subscriber nor if Stripe fails to complete a processed payment during the period of free payment processing.
b. Clio reserves the right to amend this offer. In the event of material changes to the offer, Themis will notify Eligible Subscribers, by email, or by other reasonable means of these changes prior to their enactment.
c. In the event of a dispute, Clio is the sole authority on eligibility for free payment processing for Eligible Subscribers.
