Terms and Conditions

*These terms and conditions (“Terms”) govern this limited-time Offer (as defined below) from Themis Solutions Inc. and its affiliates (dba “Clio”). By accepting the Offer, you agree to be bound by these Terms. These Terms are in addition to the Clio Terms of Service (the “ToS”) which govern your use of Clio products and services (“Clio Manage”). The Offer is valid between the dates of February 2nd, 2026 to March 6th, 2026 (the “Offer Period”) for Eligible Customers (as defined below), who acknowledge and agree to the Offer Requirements (as defined below).

If you are an Eligible Customer during the Offer Period, you will receive a prepaid digital gift card (the “Gift Card”) as follows: (i) $500 for the referral of each law firm that uses your Link (as defined below) to sign up for Clio Manage (the “Base Gift”); (ii) $10 coffee gift card when you share your unique referral link during the offer dates. One gift card per customer; (iii) if you refer two (2) law firms that use your Link to sign up for Clio Manage, you will receive the Base Gift plus $200; (ii) if you refer three (3) law firms that use your Link to sign up for Clio Manage, you will receive the Base Gift plus $300; and/or (iii) if you refer six (6) law firms that use your Link to sign up for Clio Manage, you will receive the Base Gift plus $600 (the “Offer”). The Offer will be delivered electronically to the account owner of the Clio Manage account that meets the requirements for being an Eligible Customer.

Eligible Referrals will also receive a 10% discount off of a new subscription to Clio Manage that results from use of the Link.

“Eligible Customers” are customers who successfully refer an Eligible Referral (as defined below) that completes an Activation (as defined below) during the Offer Period using Eligible Customer’s unique referral link to the referral platform (for example refer.clio.com/yoursharecode), that will be provided to Eligible Customer by Clio (the “Link”).

“Eligible Referrals” are referrals who: (i) work at a law firm or legal-adjacent business; (ii) are not currently using Clio Manage, and are not a member of a firm that is currently using Clio Manage; (iii) are not currently in an active evaluation with Clio (and have not been within the last ninety (90) days); (iv) click the Link and sign up for a demo for Clio Manage (the “Demo”); (v) within ninety (90) days of completing the Demo, sign up for Clio Manage (an “Activation”); and (vi) agree to the Clio terms of use available here, upon Activation.

The Offer is subject to the following requirements (the “Offer Requirements”), and by accepting the Offer, you acknowledge and agree to all Offer Requirements:

1. You must be an Eligible Customer, as determined by Clio in its sole discretion.
2. Affiliate partners in Clio’s Channel Partner Program are not eligible to participate in this Offer.
3. The Offer is for Eligible Customers only and may not be transferred to any other person whatsoever and may not be substituted.
4. Gift Cards will be provided in the currency of the jurisdiction in which the Eligible Customer resides (USD or CAD).
5. Only Eligible Referrals via this official referral program are eligible for the Offer, and in the event the same individual was referred by two Eligible Customers, the bonus will be awarded to the Eligible Customer who first submitted the Eligible Referral’s information through the referral program based on the Link used.
6. To claim the Offer you must follow the process outlined here: (i) Eligible Customer will receive an email, at the email address linked to the Eligible Customer’s Clio Manage account, from Sendoso.com; (ii) Eligible Customer must open the electronic notification containing the Offer, select the link provided within such electronic notification, and follow the email verification steps to claim the Offer (“Verification”) within the timelines set forth by Sendoso and outlined in Sendoso’s terms; (iii) Verification will, without limitation,  require Eligible Customer to review and agree to Sendoso’s terms of service (including without limitation the terms relating to egifts) and privacy policy (“Sendoso Terms”); and (iv) Eligible Customer must complete the Verification and agree to the Sendoso Terms before the expiration date contemplated in the Sendoso Terms (the “Expiration Date”) in order to claim the Offer. Failure to open the electronic notification containing the Offer before the applicable Expiration Date will render the Offer void, and Eligible Customer will become ineligible to claim the Offer. Failure to complete the Verification and agree to the Sendoso Terms will render the Offer void, and Eligible Customer will become ineligible to claim the Offer. If you become ineligible to claim the Offer for any reason, you are not entitled to receive the Offer and there will be no substitution or compensation in lieu of the Offer. 
7. Clio is not responsible for any failure by Sendoso with respect to the Verification process or delivery of the Offer, nor for any failure due to technical issues between Eligible Customer and this third party service.
8. In the event of a dispute, Clio is the sole authority on determining eligibility for the Offer.
9. Only Eligible Customers who reside in the United States or Canada, and are 21 years of age or 18 years of age, respectively, or older, are eligible for this Offer.
10. These Terms are governed by the laws of British Columbia. All applicable federal, state, provincial, and local laws and regulations apply. Void where prohibited or restricted by law. PURCHASE NECESSARY BY ELIGIBLE REFERRAL TO RECEIVE A GIFT CARD. THIS PROMOTION CANNOT BE STACKED OR USED IN COMBINATION WITH ANY OTHER PROMOTION, DISCOUNT, OR OFFER BY CLIO, UNLESS EXPRESSLY PERMITTED BY CLIO. All federal, state, provincial, and local taxes and any expenses not specified herein are your sole responsibility. Gift Cards are subject to local tax laws and regulations. Clio will issue a T4A for Canadian participants and 1099 forms for US participants.
11. Misrepresentation or abuse will result in disqualification for this Offer at the sole discretion of Clio. Clio is not liable for any loss or damage as a result of participation in or acceptance of this Offer, nor inability to claim this Offer due to technical issues on the part of the potential Eligible Customer. Clio reserves the right to amend these Terms at any time or to terminate the Offer without notice, with changes communicated to you in writing if, and as, applicable. Any term or condition set out in these Terms, to the extent that it conflicts with any local laws or regulation is void and unenforceable to the extent, and only to the extent, to which it is prohibited or restricted.
12. We will use your personal information, which includes your email address and contact information, only to the extent necessary to run this Offer, such as sending emails related to your referrals. Participation in this Offer will be deemed as consent for the use of your personal information, subject to the outlined uses.
13. All intellectual property rights, the content, services, and all materials distributed at or in connection with Clio and this Offer are owned by Clio, and Clio related companies/affiliates. You agree not to reproduce, modify, distribute, license, perform, publish, create derivative works from or use referral campaign content for any reason. Copying or distributing any part of the event websites in any medium without Clio’s prior written consent or modifying, creating derivative works, copying, or storing any significant portion of the website or event or any related technology (unless allowed by law) is prohibited.
14. BY ACCEPTING THE OFFER, YOU WAIVE ALL RIGHTS TO BRING (AND COVENANT NOT TO BRING) ANY CLAIM AGAINST CLIO OR ANY OTHERS ASSOCIATED WITH THIS OFFER. YOU FURTHER AGREE TO RELEASE AND HOLD HARMLESS CLIO FROM ANY AND ALL LIABILITY ARISING FROM YOUR ACCEPTANCE OF THE OFFER, OR CLIO’S USE OF ANY OF YOUR INFORMATION IN CONNECTION HEREWITH.
