These terms and conditions (“Terms”) govern this limited-time promotional offer from Themis Solutions (Ireland) Limited and its affiliates (dba “Clio”). By accepting this Offer, you agree to be bound by these Terms. These Terms are in addition to the Clio UK Terms of Service and Ireland Terms of Service (the “ToS”) which govern your use of Clio products and services (including Clio Payments).  In the event of conflict between these Terms and the ToS, these Terms will prevail, but only with respect to matters specifically related to the Offer. 

Eligibility Requirements 

This Offer is valid from April 1, 2026 to April 30, 2026 (the “Offer Period”) for New Subscribers (as defined below), who acknowledge and agree to the Offer Requirements (as defined below). If you are a New Subscriber during the Offer Period, you will receive one of the following discounts based on your subscription term (each, an “Offer”):

(a) Annual Subscriptions. New Subscribers who purchase an annual subscription may elect one of the following: (i) a one-time credit equivalent to the fees payable by you for the first three (3) months of your entire Clio subscription (the “Credit”); or (ii) a twenty-five percent (25%) discount applied to the Clio Manage AI portion of your subscription only (not to Clio Manage or any other Clio product), which discount shall apply for the duration of your subscription, including renewal terms (the “Ongoing AI Discount”). For certainty, the Credit under subsection (i) applies to your entire Clio subscription, while the Ongoing AI Discount under subsection (ii) applies only to the Manage AI fees.

(b) Monthly Subscriptions. New Subscribers who purchase a monthly subscription will receive a twenty-five percent (25%) discount applied to the Clio Manage AI portion of your subscription only (not to Clio Manage or any other Clio product), which discount shall apply for the duration of your subscription, including renewal terms (the “Monthly AI Discount”, and together with the Credit and the Ongoing AI Discount, the “Offers”). 

“New Subscribers” are subscribers who: (i) at the time of redemption, do not have any active subscription to any Clio product or service; (ii) have purchased the Offer through a Clio Sales Representative during the Offer Period (an “Invitation”); (iii) after receiving an Invitation, purchase and activate a subscription that includes Clio Manage AI, on one of the following plans prior to the end of the Offer Period  (an “Activation”): (1) Standard; (2) Premium; (3) Pro or (4) Suite/Expand, on either an annual term (with annual, semi-annual, or quarterly payment frequency), or a monthly term; and agree to Clio ToS upon Activation.

The Offers are subject to the following requirements (the “Offer Requirements”), and by accepting this Offer, you acknowledge and agree to all Offer Requirements:

• You must be a New Subscriber, as determined by Clio in its sole discretion. 
• The Offer is for the use of the New Subscriber and may not be transferred to any other person or entity whatsoever and may not be substituted.
• Activations made prior to, or after, the Offer Period, will not be eligible for the Offer.
• If for any reason, you terminate your services prior to the first anniversary of the date of your Activation, Clio may, in its sole discretion: (a) if you elected the Credit, void the Credit, and the amount of the Credit will be immediately due and payable; or (b) if you elected the Ongoing AI Discount or received the Monthly AI Discount, void such discount retroactively, and the difference between the discounted fees paid and the undiscounted fees for the period of your subscription will be immediately due and payable, (but in any event will be payable within fifteen (15) days).
• If you elected the Credit, the Credit is a one-time credit only, applicable for the first annual term of your services subscription, and there will be no credits for any renewal terms. If you elected or received the Ongoing AI Discount or the Monthly AI Discount, such discount will continue to apply for the duration of your subscription, including renewal terms, provided your subscription remains active and in good standing. For certainty, Clio has no obligation to offer any further credits or discounts beyond what is expressly stated herein.
• In the event of a dispute, Clio is the sole authority on determining eligibility for the Offer.
• Only New Subscribers who reside in EMEA and are 18 years of age, are eligible for each Offer.
• PURCHASE NECESSARY. THIS PROMOTION CANNOT BE STACKED OR USED IN COMBINATION WITH ANY OTHER PROMOTION, DISCOUNT, OR OFFER BY CLIO, EXCEPT FOR: (I) BAR & MEMBER BENEFIT DISCOUNTS, APPLICABLE ONLY TO ANNUAL SUBSCRIPTIONS;  AND (II) AS OTHERWISE EXPRESSLY PERMITTED BY CLIO. • BY ACCEPTING THIS OFFER, YOU WAIVE ALL RIGHTS TO BRING (AND COVENANT NOT TO BRING) ANY CLAIM AGAINST CLIO OR ANY OTHERS ASSOCIATED WITH THESE OFFERS. • These Terms are governed by the laws of Ireland. All applicable laws and regulations, as mandated by UK and Irish legislation apply. Void where prohibited or restricted by law. All applicable taxes and any expenses not specified herein are your sole responsibility. Any term or condition set out in these Terms, to the extent that it conflicts with any local laws or regulation is void and unenforceable to the extent, and only to the extent, to which it is prohibited or restricted.
