These terms and conditions (“Terms”) govern this limited-time Offer (as defined below) from Themis Solutions Inc. and its affiliates (dba “Clio”). By accepting this Offer, you agree to be bound by these Terms. These Terms are in addition to the Clio Terms of Service (the “ToS”) which govern your use of Clio products and services. In the event of conflict between these Terms and the ToS, these Terms will prevail, but only with respect to matters specifically related to the Offer.

Eligibility Requirements

This Offer is ongoing subject to the terms of the Royal Bank of Canada (“RBC”), who acknowledge and agree to the Offer Requirements (as define- below).

If you are a New Subscriber and a RBC client, you will receive a one-time discount (the “Credit”) equivalent to 25% off the fees payable by you for the first year of the relevant Clio services (the “ Offer”).

“New Subscribers” are subscribers who: (i) at the time of redemption, do not have any active subscription to any Clio product or service; (ii) have accessed the Offer either: (a) through the co-branded Clio landing page after validation as an RBC client, or (b) through a direct referral link from an RBC Advisor (an “Invitation”); (iii) after receiving an Invitation, purchase and activate an annual Clio subscription (an “Activation”); and (iv) agree to the Clio ToS upon Activation.

The Offers are subject to the following requirements (the “Offer Requirements”), and by accepting this Offer, you acknowledge and agree to all Offer Requirements:

• You must be a New Subscriber, as determined by Clio in its sole discretion.
• You are a Royal Bank business client or Group Advantage Sponsor. Prospective RBC clients will be invited to contact RBC to become a client.
• The Offer is for the use of the New Subscriber and may not be transferred to any other person or entity whatsoever and may not be substituted.
• If for any reason, you terminate your services prior to the first anniversary of the date of your Activation, Clio may, in its sole discretion, void the Credit, and the full amount of the fees payable for your first year of services will be immediately due and payable (but in any event will be payable within fifteen (15) days).
• The Credit is a one-time credit only, applicable for the first annual term of your services subscription, and there will be no credits for any renewal terms. For certainty, Clio has no obligation to offer any further credits at any point.
• In the event of a dispute, Clio is the sole authority on determining eligibility for the Offer.
• Only New Subscribers who reside in Canada (excluding Quebec) are eligible for each Offer.
• PURCHASE NECESSARY. THIS PROMOTION CANNOT BE STACKED OR USED IN COMBINATION WITH ANY OTHER PROMOTION, DISCOUNT, OR OFFER BY CLIO, EXCEPT FOR: (I) MEMBER BENEFIT DISCOUNTS; (II) THE COMBINATION OF CLIO MANAGE AND CLIO DRAFT SUBSCRIPTIONS AS SET-OUT HEREIN; AND (III) AS OTHERWISE EXPRESSLY PERMITTED BY CLIO.
• Misrepresentation or abuse will result in disqualification for this Offer at the sole discretion of Clio. Clio is not liable for any loss or damage as a result of participation in or acceptance of this Offer, nor inability to claim this Offer due to technical issues on the part of the potential New Subscriber. Clio reserves the right to amend these Terms at any time or to terminate the Offer without notice, with changes communicated to you in writing if, and as, applicable.
