These terms and conditions (“Terms”) govern the Florida Bar Preferred Bar Program Work member benefit (the “Benefit“) from Themis Solutions Inc. DBA Clio and its affiliates (“Clio”). By accepting this Offer, you agree to be bound by these Terms and the terms specific to this Offer as described above. These Terms supplement the Clio North American Terms of Service and/or any other Clio Terms of Service specific to your region (collectively, the “ToS”) which govern your use of Clio products and services. In the event of conflict between these Terms and the ToS, these Terms will prevail, but only with respect to matters specifically related to the Offers.
Benefit Description
Introductory Benefit. Eligible Members who activate the Benefit during the Benefit Period will receive four (4) months of complimentary access to Clio Work (“Introductory Benefit”), at no charge, beginning on the date of activation.
Limited Access Benefit. Following expiry of the Introductory Benefit, Eligible Members will receive access to a limited number of AI conversations per month within Clio Work, or similar limited access at Clio’s sole discretion, as an ongoing member benefit (“Limited Access Benefit”), subject to these Terms and any additional terms communicated at the time that the benefit is made available to registrants.
Eligibility
To qualify as an “Eligible Member” for the Benefit, you must meet all of the following criteria at the time of activation:
- Bar Membership: You are an active member in good standing of The Florida Bar at the time of registration and the time of activation.
- First-time user: You have not previously subscribed to, purchased, or received a paid or trial subscription to Clio Work or CWS at any time prior to activating this Benefit.
- Activation: You complete activation of the Benefit through the designated Florida Bar member benefit pathway (including Florida Bar SSO authentication or “log in”) during the Benefit Period.
- Clio ToS: You accept the Clio Terms of Service upon activation.
- Location and Age: You reside in the United States and are at least 21 years of age..
- Individual access: The Benefit is available to individual Florida Bar members.
- Subscribers to vLex products: Members who have subscribed to vLex products, while eligible for the Benefit, may have their eligibility delayed until technical conflicts that prevent simultaneous access to the Benefit and those products have been resolved.
Benefit Period
The Introductory Benefit is expected to be available for activation in the late Summer or Fall 2026 (the “Benefit Period”). Clio reserves the right to modify or end the Benefit Period at any time upon notice.
Benefit Activation
Instructions for activating the benefit will be sent to registrants at a later date.
Existing Clio Work and CWS Subscribers
Existing subscribers to Clio Work or CWS are not eligible for the Introductory Benefit or Limited Benefit. Florida Bar members who currently use Clio products remain eligible for the standard 10% Florida Bar member discount on eligible Clio products.
Transition to Limited Access Benefit
Upon expiry of the four-month Introductory Benefit, access to Clio Work will automatically transition to the Limited Access Benefit. No further action is required by the member to receive the Limited Access Benefit, provided you remain an active member of The Florida Bar in good standing. Clio may provide in-product notice of the approaching end of the Introductory Benefit period.
General Terms
- The Benefit is for Eligible Members only, is limited to one activation per Eligible Member, may not be substituted, and may not be transferred to any other person.
- The Benefit cannot be combined with any other promotional offer, discount, or free trial for Clio Work or CWS unless expressly permitted by Clio in writing. For certainty, the existing Florida Bar member discount (10% off eligible Clio products) continues to apply separately to any paid Clio subscription.
- Those Members who have purchased additional vLex subscriptions may have the commencement of the Benefit delayed as we complete migration of these subscriptions.
- In the event of a dispute, Clio is the sole authority on determining eligibility for the Benefit.
- Misrepresentation or abuse of the Benefit (including but not limited to circumventing usage limits or activating under false membership credentials) will result in disqualification at Clio’s sole discretion.
- Clio is not liable for any loss or damage resulting from participation in or activation of the Benefit, or inability to claim the Benefit due to technical issues, interruptions, or changes to the program.
- All applicable federal, state, and local taxes and any costs not specified herein, if any, are your sole responsibility.
- BY ACTIVATING THE BENEFIT, YOU WAIVE ALL RIGHTS TO BRING (AND COVENANT NOT TO BRING) ANY CLAIM AGAINST CLIO OR ANY OTHERS ASSOCIATED WITH THIS BENEFIT, INCLUDING BUT NOT LIMITED TO CLAIMS RELATED TO ELIGIBILITY, BENEFIT DELIVERY, OR ACCESS. YOU FURTHER AGREE TO RELEASE AND HOLD HARMLESS CLIO FROM ANY AND ALL LIABILITY ARISING FROM YOUR ACTIVATION OF THE BENEFIT OR CLIO’S USE OF YOUR INFORMATION IN CONNECTION HEREWITH.
- Clio reserves the right to modify these Terms at any time or to terminate the Benefit without notice. Changes will be communicated in writing as applicable, including by posting revised Terms.
- These Terms are governed by the laws of British Columbia, Canada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in accordance with the dispute resolution provisions in the ToS.
- The Benefit is subject to all applicable federal, state, and local laws and regulations and is void where prohibited or restricted by law.
