UK Clio Draft Terms of Service

Clio DRAFT PRODUCT Terms

  1. Introduction
    These Clio Draft Product Terms apply to your use of Clio Draft as optional features or components of the Clio Service provided by Themis Solutions (Ireland) Limited (and its affiliates) (“Themis”). These Clio Draft Product Terms are incorporated into and form part of the UK Terms of Service (“UK Terms”).
  2. Use of Clio Draft
    2.1 Clio Draft is a legal document drafting and automation solution designed to enhance the efficiency and accuracy of legal document creation and management for legal professionals. Subscribers of Clio Manage that subscribe for Clio Draft, are granted access to the Clio Draft software as an integrated component of their Clio Manage subscription, subject to the terms of their subscription and these Clio Draft Product Terms.2.2 Clio Draft may include features such as:

    1. document templates and related content;
    2. auto-population of forms using account data, data entered by users or collected via questionnaires;
    3. the ability to create and distribute questionnaires to clients for the purpose of collecting information, which is then automatically imported into documents and forms; and
    4. document editing, saving, execution, and download functionalities.

    2.3 Clio Draft may include suggestions, instructions or features to assist you with completing documents. These suggestions, instructions, or outputs are not legal advice and are intended only to assist you in completing the documents in a manner that allows the inputs to be saved by our software. CLIO DRAFT DOES NOT CONSTITUTE AND IS NOT A SUBSTITUTE FOR LEGAL TRAINING OR ADVICE. Any questions about the content of the documents or inputs should be directed to a solicitor or the agency issuing or accepting the document, not Themis.
    2.4 Authorized Users are responsible for ensuring that all information entered into Clio Draft is accurate, current, and complete. Authorized Users must confirm with the relevant agency, court, or authority that the document or form being used is the correct and current version for their purposes.

  3. Liability
    3.1 Themis is not a law firm and does not provide legal advice, legal services, or any guarantee as to the legal sufficiency, accuracy, or currency of any document generated using Clio Draft. Themis does not guarantee any specific results or outcomes from the use of Clio Draft. Themis does not monitor or regulate user actions on the platform. The effectiveness and suitability of the platform depends on a variety of factors outside Themis’ control.3.2 To the extent permitted by law, Clio Draft is provided AS IS, may contain bugs, errors or other defects, and your use of it is at your sole risk. All documents generated through Clio Draft must be reviewed and verified by the user prior to use, execution, or submission to any third party. Authorized Users are solely responsible for ensuring that their use of Clio Draft and any documents generated comply with all applicable laws, regulations, rules of professional conduct, and ethical obligations. Themis does not guarantee any results or outcomes with the use of Clio Draft.3.3 You acknowledge and agree that, to the extent permitted by law, Themis will not be responsible or liable to you in the event that you, your personnel or customers suffer loss or damage, or incur liability, due to your reliance on information or output provided through Clio Draft, nor due to your violation of any law or professional rule.
