Subprocessors

This page uses plain-language terms like “Clio,” “customer,” and “customer data” for readability. If your use of our products is governed by the Clio Terms of Service, the Clio Enterprise Subscription Agreement, or the vLex Terms and Conditions, these terms should be read as references to the corresponding defined terms in the applicable agreement (namely, “Themis”, “Subscriber” and “Content” under the Clio Terms of Service, “Clio”, “Customer” and “Customer Data” under the Clio Enterprise Subscription Agreement, or “vLex”, “Customer” and “User Content” in the vLex Terms and Conditions).

Clio Affiliates

To help deliver the Services, Clio engages its affiliates as subprocessors. These affiliates may have access to customer data in that capacity.

Themis Service Providers

Under the Themis Data Processing Addendum (the “Themis DPA“), a “Subprocessor” is a vendor Themis engages to process Subscriber Personal Data on Subscriber’s behalf as part of delivering the Service (as such terms are defined the Themis DPA). In addition to the Subprocessors which process data of which Themis is a processor, listed under the “Subprocessors” and “Clio Affiliates” headers above, Themis also engages vendors for its own business operations (e.g., for billing, marketing, account administration, and customer support purposes), which are listed below. Where those vendors are concerned, Themis, not Subscriber, is the Controller of the personal data involved, and processing is governed by Clio’s Privacy Notice, not the Themis DPA. We list them here for transparency, consistent with prior practice.
