TIMING: The Launch//Code Contest (the “Contest”) is presented by Themis Solutions Inc. d/b/a Clio (the “Sponsor” or “Clio”) and administered by US Sweepstakes & Fulfillment Co. (the “Contest Administrator”). The Contest begins at 12:00:01 AM Eastern Time (“ET”) on Wednesday, March 2, 2022 and ends at 11:59:59 PM ET on Sunday, August 7, 2022 (the “Contest Period”) and consists of three (3) phases: the Contest Entry Phase, Finalist Phase and Grand Prize Judging & Winner Announcement Phase as represented in the chart below. Sponsor’s computer is the official timekeeping device for this Contest.

By participating in the Contest, Contest Entrant (as defined below) unconditionally accepts and agrees to comply with, and abide by these Official Rules and the decisions of Sponsor and Contest Administrator, which shall be final and binding in all respects.
ELIGIBILITY: This promotion is not open to the general public or to persons in their individual capacity. The Contest is open to companies/businesses legally organized as a sole proprietorship, partnership, limited liability company, corporation or otherwise which are located and doing business within the 50 United States, including the District of Columbia, and Canada (excluding Quebec). Void in Quebec, Puerto Rico, Guam, the U.S. Virgin Islands, outside the U.S. and Canada, and wherever else prohibited by law. Entrant must be: (i) a legal resident of the 50 United States, including the District of Columbia, or Canada (excluding Quebec), (ii) age 18 or older at the time of entry, and (iii) the president, CEO or owner of a company or business or an authorized representative associated with a company or business submitting the entry (the “Contest Entrant”). Grand Prize winners in previous Launch//Code Contests shall not be eligible to win the Grand Prize. If submitting an entry as an authorized representative, written permission must be obtained from appropriate management personnel at the company or business before participating in the Contest, with the understanding that Sponsor/Administrator may condition continued eligibility by that company/business upon authorized representative submitting adequate proof of obtaining such permission. For the avoidance of doubt, different divisions, affiliates or subsidiaries of the same company/business MAY each participate in the Contest provided that each such division/affiliate/subsidiary is independently owned and operated.
Employees of the Sponsor, Contest Administrator and their respective subsidiaries, affiliates, advertising and promotion agencies, and the immediate family members (spouses, parents, children, and siblings and their spouses) of, and/or those living in the same household of each, are not eligible to enter. Contest is subject to all applicable federal, state, provincial and local laws and regulations. Participation from Clio competitors (including, but not limited to, other entities which develop, produce, service or sell law practice management software) is prohibited.
HOW TO ENTER THE CONTEST: The Contest Entry Period begins at 12:00:01 AM ET on Wednesday, March 2, 2022 and ends at 11:59:59 PM ET on Sunday, August 7, 2022 (“Contest Entry Period”). During the Contest Entry Period, entrants may submit a new eligible app to the Clio App Directory (a “New App Integration”) and complete the contest entry form to be entered into the judging for the New App Integration Grand Prize (the “New App Integration Entry”) and/or may submit an update to an existing eligible app already on the Clio App Directory (an “App Upgrade”) and complete the contest entry form to be entered into the judging for the App Upgrade Grand Prize (the “App Upgrade Entry”). New App Integration must not have been listed prior to 01/01/22 and must be live, including completion of the Clio Security and compliance review mentioned below, prior to completing Step 3 below to be eligible. To be eligible, New App Integrations and App Upgrades submitted with each Entry must: (i) provide complementary functionality to the Clio Cloud Practice Management Platform (the “Platform”); (ii) pass Clio’s security and compliance review of the submission via the Clio security questionnaire available at https://docs.google.com/forms/d/e/1FAIpQLSe5wlvoqZSNJ6eguaeBug6vzxuwUhab0QmHw5j-DZ6-XmctpQ/viewform; (iii) use “Add to Clio’; and (iv) meet a minimum accessibility score of 50 using Google Lighthouse. New App Entry and App Upgrade Entry collectively referred to herein as “Entry” or “Entries”.
To submit an Entry, existing Clio App Partners with live applications in Clio’s App Directory may skip to Step 4. If you are not currently a Clio App Partner, launch an app by using the information in the Platform’s API by completing steps 1 through 3 before completing Step 4.

Step 2: Create a developer account and develop an App Integration using Clio’s Platform API found here: https://app.clio.com/api/v4/documentation
Step 3: Submit your App Integration to Sponsor for review by emailing [email protected]. New App Integration submissions must be submitted in their entirety by July 24, 2022 at 11:59:59 PM ET to allow for review and publication.
Step 4: Complete the contest entry form found here: clio.com/launchcode and submit (“Contest Entry”).
All Contest Entries must be received during the Contest Entry Period. There is a limit of one (1) New App Integration Entry and one (1) App Upgrade Entry per company/business. Different persons employed at a given company/business may participate in the creation and/or submission of a Contest Entry, provided that one such person (who is either the president, CEO, owner or an authorized representative of the company/business that is the Contest Entrant) is designated as the contact person for the Sponsor/Contest Administrator relative to such company’s/business’s participation in the Contest. A given person may only act as the president/CEO/owner/authorized representative of one company/business for the sake of the Contest.
Contest Entrant agrees (on behalf of him/herself individually and on behalf of the business/company of which he/she is the president, CEO, owner or authorized representative, as applicable**) that the information, ideas and materials provided to Sponsor in connection with the Contest, and any other information, ideas or other materials otherwise provided to Sponsor in connection with the Contest, may be publicly disclosed by Sponsor or its agents, and used for Sponsor’s marketing and public relations activities, in Sponsor’s sole discretion, without compensation of any kind or further notice to Contest Entrant.
**In all cases herein (whether or not specifically stated), the agreement of Contest Entrant contemplates the agreement of the president, CEO, owner or authorized representative of such business/company individually as well as on behalf of the business/company.
Sponsor reserves the right to post sample App Integrations it has created in connection with the Contest and/or highlight Contest Entries received during the Contest Entry Period. Sponsor does not guarantee the posting of any Contest Entry and the posting of a Contest Entry does not constitute any representation by Sponsor as to its eligibility for the Contest, nor does such posting function as notification of winning a prize.
ENTRY REQUIREMENTS & CONDITIONS: All Contest Entries must comply with the guidelines provided by Sponsor in documentation provided as outlined in the How to Enter section.
By submitting a Contest Entry, the Contest Entrant understands and grants to the Sponsor an irrevocable, perpetual, non-exclusive worldwide license to use his/her Contest Entry, App Integration, name, hometown and likeness (of the individual submitting same for Contest Entrant) on the Sponsor’s various websites and social media sites and in advertising and/or promotional activities worldwide without compensation, permission or notification. Contest Entrants and winner agree to assign all rights, title and interest in Contest Entry, to Sponsor, as well as agreeing, upon request and without compensation, to sign any and all required documents to effect, perfect or record such assignment of rights in the Contest Entry. Sponsor reserves the right in its sole and absolute discretion to alter, change or modify any Contest Entry, which includes App Integration, without notice to or approval of Contest Entrant.
By submitting an Entry, Contest Entrant warrants and represents that: (a) Contest Entry and App Integration do not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other legal or moral rights of any person or entity; (b) Contest Entrant has obtained written permission from any person who participated in the creation of the App Integration; (c) Contest Entrant owns all rights to the App Integration, including without limitation, copyrights (other than those rights owned by Sponsor in the Platform and Platform API); and (d) Contest Entrant will indemnify and hold harmless the Sponsor, Contest Administrator and related entities, agents and assigns from any claims and damages (including reasonable attorneys’ fees) arising from or relating to the breach or alleged breach of your representations and warranties herein, the Contest Entry, or Contest Entrant’s conduct in creating the Contest Entry, the acceptance or use of any prize or otherwise in connection with this Contest.
JUDGING & FINALIST DETERMINATION: The Judging & Finalist Determination Period will begin on Monday, August 8, 2022 and be completed on/or about Monday, September 12, 2022. All eligible Entries received during the Contest Entry Period will be judged by the Sponsor, who shall use the criteria set forth below:
- Functionality and Impact (50%)
- Innovation (20%)
- User Experience (20%)
- Transforming the legal experience for all (10%)
The three (3) New App Integration Entries that receive the highest total score based on the judging criteria will each be deemed a potential finalist (a “New App Integration Finalist”) and the three (3) App Upgrade Entries that receive the highest total score based on the judging criteria will each be deemed a potential finalist (a “App Upgrade Finalist”). New App Integration Finalist and App Upgrade Finalist collectively referred to herein as “Finalist” or “Finalists”.
In the unlikely event of a tie, the tied Contest Entry with the highest score in Criterion A, Functionality and Impact, will be deemed the potential Finalist. If additional tie breakers are needed, the tie-breaking mechanism above will be used; however, instead of the highest score in Criterion A determining the potential finalists from among the tied entries, the highest scores in each of Criteria B through D, in sequence (to the extent needed) will determine the potential Finalists. In the event additional tiebreakers are needed, all tied Contest Entries will be judged by a separate panel of judges using the judging criteria above.
FINALIST CONFIRMATION PERIOD & FINALIST ACCEPTANCE: The president, CEO, owner or an authorized representative of the company/business that is a Finalist will be contacted by the Administrator by email or phone on/around Wednesday, September 14, 2022. The president/CEO/owner/authorized representative of Finalist, on behalf of the Finalist company/business as well as him/herself individually (to the extent applicable), will be required to sign and return, within five (5) days of notification, an Affidavit of Eligibility, a Liability Waiver, a W-9 Form with the business tax ID number, if applicable, and where allowable, a Publicity Release, or a Declaration and Release if potential winner is a Canadian company/business (collectively, “the Releases”) in order for the company/business to be declared a verified Finalist, receive a Finalist Prize and have the opportunity to perhaps win the Grand Prize. Prize(s) will be awarded to president/CEO/owner/authorized representative on behalf of the Finalist company/business, NOT individually.
In the unlikely event that a president/CEO/owner/authorized representative of a potential Finalist is otherwise eligible under these Official Rules, but is nevertheless deemed a minor in his or her state/province of primary residence, the parent or legal guardian of such president/CEO/owner/authorized representative will be required to execute and return the Releases on minor’s behalf.
Sponsor will invite the six (6) Finalists to present their New App Integration or App Upgrade submitted with the Finalist Entry (each, a “Presenting Finalist”) at the Clio Cloud Conference, to be held on or around October 10-11, 2022 at a date and time to be determined by Sponsor (the “Conference”). Sponsor may invite fewer than six (6) Presenting Finalists without liability to the Sponsor or its designees of any kind. Finalist company/business may select its president, CEO, owner or any other authorized representative to be its Presenting Finalist provided that such individual was named on the Finalist’s contest entry form. Presenting Finalist must attend the Conference in person or virtually and agree to present as a condition of Finalist company/business receiving a Finalist Prize and remaining eligible to win the Grand Prize. If Presenting Finalist is not the same individual who completed Releases on behalf of Finalist company/business (as discussed above), Presenting Finalist will also be required to sign and return a Liability Waiver and where allowable a Publicity Release for him/herself personally within the aforementioned five (5) day period.
GRAND PRIZE WINNER DETERMINATION: During the Conference, each Presenting Finalist will present using a prerecorded presentation with a maximum of seven (7) minutes to present his/her App Integration. Such presentation will be governed by the Grand Prize Round Rules and Regulations, which are made a part of these Official Rules and incorporated herein by reference. In the event of any inconsistency between these Official Rules and the Grand Prize Round Rules and Regulations, the Grand Prize Round Rules and Regulations shall prevail, govern and control with respect to the conduct of the Grand Prize Round but in all other regards these Official Rules shall prevail, govern and control. Presentation will be judged based on the following criteria:

The New App Integration Finalist that receives the highest total score based on the judging criteria will be deemed the potential New App Integration Grand Prize winner and the App Upgrade Finalist that receives the highest total score based on the judging criteria will be deemed the potential App Upgrade Grand Prize winner. In the unlikely event of a tie, the tied Finalist with the highest score in Criterion A, Functionality and Impact, will be deemed the potential Grand Prize winner. If additional tie breakers are needed, the tie-breaking mechanism above will be used; however, instead of the highest score in Criterion A determining the potential Grand Prize winner from among the tied Finalists, the highest scores in each of Criteria B through D, in sequence (to the extent needed) will determine the potential Grand Prize winner. In the event additional tiebreakers are needed, all tied Finalists will be judged by Sponsor using the judging criteria above.
GRAND PRIZE WINNER ANNOUNCEMENT: After all Presenting Finalists in attendance at the Conference have completed his/her presentation, Sponsor will announce the potential New App Integration Grand Prize and App Upgrade Grand Prize winners (each, a “Grand Prize Winner”).
GRAND PRIZE WINNER NOTIFICATION & PRIZE ACCEPTANCE REQUIREMENTS: The president, CEO, owner or an authorized representative of each company/business that is a potential Grand Prize Winner will be notified by the Contest Administrator within seven (7) after the conclusion of the Conference via email and/or phone, and will be required to sign and return, within three (3) days of notification, the Grand Prize Winner Releases. Noncompliance will result in disqualification and the Finalist who received the next highest judging score in the Grand Prize Round for that prize will be deemed the potential Grand Prize Winner and will be required to sign and return the Grand Prize Winner Releases as outlined above. The Grand Prizes will be awarded within approximately 45 days after verification.
The App Integration must remain live on the Clio App Directory for a minimum of 12 months barring any unforeseen circumstances.
PRIZES/APPROXIMATE RETAIL VALUE (“ARV”):
- Finalist Prizes: Six (6) Finalists will each receive:
- Two (2) admission tickets to the Clio Cloud Conference on or around October 10-11, 2022 at a date and location to be determined by Sponsor where the Grand Prize Winners will be announced; and
- Three (3) nights hotel accommodations (single room, double occupancy) if Finalist will attend the Conference in person or a $645 prepaid card if Finalist will attend the Conference virtually.
The total ARV of Finalist Prize is: $845.00 USD each. The total ARV of all Finalist Prizes is: $5,070.00 USD.
- New App Integration Grand Prize: One (1) New App Integration Grand Prize winner will receive a $50,000 USD check that will be awarded in the name of the confirmed winner. ARV of the New App Integration Grand Prize is: $50,000.00 USD.
- App Upgrade Grand Prize: One (1) App Upgrade Grand Prize winner will receive a $50,000 USD check that will be awarded in the name of the confirmed winner. ARV of the App Upgrade Grand Prize is: $50,000.00 USD.
The total ARV of all prizes to be awarded: $105,070.00 USD.
New App Integration Grand Prize and App Upgrade Grand Prize collectively referred to herein as “Grand Prize” or “Grand Prizes”.
PRIZE CONDITIONS: If any notification or prize is returned as undeliverable, or if potential Finalist or Grand Prize Winner is found to be ineligible or not in compliance with these Official Rules, such company/business will be disqualified.
Prizes are not redeemable for cash (except for Grand Prizes). Prizes are not assignable nor transferable. No substitution is permitted except if prize is unavailable, in which case a prize of equal or greater value will be awarded. No cash in lieu of prizes and to exchange or substitution of prizes, except at the sole discretion of the Sponsor (excluding Grand Prizes). Any other incidental expenses on prize not specified herein are the winner’s sole responsibility: this includes but is not limited to any costs of Finalists’ associated with presenting at the virtual Clio Cloud Conference.
Winners are responsible for all federal, state, local, provincial and income taxes associated with winning prize.
Except where prohibited by law, entry and acceptance of prize constitute permission to use (as applicable) Finalists/Winner’s business/company (and/or that of its president, CEO, owner or authorized representative), prize won, hometown, likeness, video tape, photographs, and statements for purposes of advertising, promotion and publicity (including online posting) in any and all media now or hereafter known throughout the world in perpetuity, without additional compensation, notification or permission.
By accepting a Finalist Prize and/or Grand Prize, you further agree (on behalf of yourself individually and on behalf of the business/company of which you are the president, CEO, owner or authorized representative, as applicable) to release the Contest Entities from any and all liability, loss or damage of any kind arising out of or in connection with your participation in this Contest or with respect to the awarding, receipt, possession, use and/or misuse of any prize.
GENERAL: Contest Entrants (on behalf of themselves individually and on behalf of the business/company of which they are the president, CEO, owner or authorized representative, as applicable) agree to these Official Rules and the decisions of the Contest Administrator and the Sponsor, and release and hold the Sponsor, the Contest Administrator, and their affiliated companies, and all other businesses involved in this Contest, as well as the employees, officers, directors and agents of each, from all claims and liability relating to their participation in the Contest, and the acceptance and use/misuse of the prize offered. Contest Entrants waive all rights to claim punitive, incidental and consequential damages. Finalists/Winners assume all liability for any injury or damage caused or claimed to be caused, by participation in this Contest or use/misuse or redemption of a prize. Sponsor and Contest Administrator are not responsible for any typographical or other error in the printing of the offer, administration of the Contest or in the announcement of any prize.
No confidential relationship is established by any Contest Entrant and the Sponsor as a result of participating in the Contest. None of the information submitted by the Contest Entrant will be treated as trade secrets, confidential information or as protected data.
Although subsequent attempts to submit a Contest Entry may be received, only the first complete Contest Entry received from a particular Contest Entrant will be eligible; subsequent attempts by the same business/company to Enter, including entries submitted with an alternate email address or identity will be disqualified. In the event of a dispute over the identity of a Contest Entrant, submission will be deemed submitted by the business/company associated with the “Authorized Account Holder” of the email address from which the entry is submitted. Authorized Account Holder means the natural person to whom the email address is registered. The president, CEO, owner or authorized representative of Contest Entrant or potential winner may be required to show proof of being the authorized account holder to Sponsor’s satisfaction. Entry materials/data that have been tampered with or altered, or mass entries or entries generated by a script, macro or use of automated devices are void. The Contest Entities, are not responsible for: (i) lost, late, misdirected, damaged or illegible Contest Entries; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of submission materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive submission information by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (iii) any injury or damage to Contest Entrant’s, or any other person’s computer related to or resulting from participating in the Contest. By participating in the Contest, you (on behalf of yourself individually and on behalf of the business/company of which you are the president, CEO, owner or authorized representative, as applicable) (i) agree to be bound by these Official Rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of Sponsor and the Contest Administrator, which are final and binding in all matters relating to the Contest. Failure to comply with these Official Rules may result in disqualification from the Contest. Sponsor reserves the right to: (i) permanently disqualify from any Contest it sponsors any person (or business/company) it believes has intentionally violated these Official Rules; (ii) remove, reject or disqualify any Contest Entry which, in its opinion, violates any of these Official Rules or is otherwise inappropriate for inclusion in the Contest; and (iii) withdraw or modify the entry method if it becomes technically corrupted (including if a computer virus or system malfunction inalterably impairs its ability to conduct the Contest). If, for any reason, the Contest is not capable of being conducted as planned, including but not limited to infection by computer viruses, bugs, tampering, unauthorized intervention, fraud, technical failures or other causes whether or not beyond the control of Sponsor, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest. Sponsor is not responsible if the Contest cannot be implemented or prizes cannot be awarded due to delays or interruptions due to acts of God, acts of war, strikes, governmental action, natural disasters, weather or acts of terrorism. Sponsor also reserves the right in its sole discretion to disqualify any individual (or business/company) found to be violating these Official Rules or suspected of attempting to disrupt the Entry process or the operation of the Contest; or to defraud Sponsor or Contest Administrator in conjunction therewith. Sponsor reserves the right to disqualify any Contest Entrant at any time during the Contest Period that may be found ineligible.
In the event any person engages or has engaged in behavior that (as determined by Sponsor in Sponsor’s sole discretion) is obnoxious or threatening, illegal or that intends to annoy, abuse, threaten, disparage or harass any other person or company including the Sponsor or is otherwise inappropriate, the Sponsor reserves the right to disqualify the Contest Entrant or winner and void any Contest Entries associated with said person.
LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN CONTEST ENTRANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPER OR VANDALIZE THIS WEB SITE OR INTERFERE WITH THE OPERATION OF THE CONTEST, IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
DISPUTES: Except where prohibited, Contest Entrant (on behalf of him/herself individually and on behalf of the business/company of which he/she is the president, CEO, owner or authorized representative, as applicable) agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the Province of British Columbia, Canada. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the Province of British Columbia, Canada, without giving effect to any choice of law or conflict of law rules (whether of the Province of British Columbia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Province of British Columbia, Canada. The remedy for any claim shall be limited to actual damages, and in no event shall any party be entitled to recover punitive, exemplary, consequential, or incidental damages, including attorney’s fees or other such related costs of bringing a claim, or to rescind this agreement or seek injunctive or any other equitable relief.
THE PARTIES HEREBY WAIVE THEIR RIGHT TO JURY TRIAL WITH RESPECT TO ALL CLAIMS AND ISSUES ARISING OUT OF OR RELATING TO THIS AGREEMENT WHETHER SOUNDING IN CONTRACT OR TORT, AND INCLUDING ANY CLAIM FOR FRAUDULENT INDUCEMENT THEREOF.
