Clio Payments Processing Offer Terms & Conditions

Terms of Offer

These terms and conditions (“Terms”) govern this limited-time Offer (as defined below) from Themis Solutions Inc. and its affiliates (dba “Clio”). By accepting the Offer, you agree to be bound by these Terms. These Terms are in addition to the Clio Terms of Service located at clio.com/tos (the “ToS”) which govern your use of Clio products and services (including Clio Payments). The Offer is valid between the dates of March 27, 2026 to April 30, 2026 (the “Offer Period”) for Eligible Subscribers (as defined below), who acknowledge and agree to the Offer Requirements (as defined below).

If you are an Eligible Subscriber during the Offer Period, you will not be charged any merchant processing fees on payments processed up to the Limit (as hereinafter defined), from e-check, debit and credit card sources, for sixty (60) consecutive calendar days beginning on the first business day after your Payments Activation (the “Fee-Free Period”). E-check payment processing is only available to Eligible Subscribers located in the United States (including Puerto Rico).

Clio will not reimburse, credit, or refund any transaction fees that accrue before the start of the Fee-Free Period, including fees incurred on the date of Payments Activation or during the intervening business day immediately preceding the Fee-Free Period (the “Offer”). 

The “Limit” means the first one hundred thousand dollars (USD $100,000 or equivalent currency) in payments processed.

Offer valid in USA, Puerto Rico, Canada (excluding Quebec), Ireland, United Kingdom. 

“Eligible Subscribers” are Subscribers who: (i) as of the first day of the Offer Period, have maintained an active, paid Clio Manage subscription for at least six (6) consecutive calendar days from the subscription’s original purchase date and are in good standing; (ii) are not and have never been subscribers to Clio Payments or previously had a Clio Payments offer applied to their Clio Manage account; (iii) have been directly invited to participate in the Offer through a communication initiated by a Clio employee, or through an official Clio communication channel, such as email or otherwise in-app (an “Invitation”); (iv) after receiving an Invitation, successfully complete an activation of Clio Payments in their Clio Manage account during the Offer Period (a “Payments Activation”); (v) in the process of completing a Payments Activation, complete and submit the application form (the “Application Form”) provided by Clio, to Clio, setting forth the following details: business type, business name, employer identification number (if applicable), business email, phone number, address, and the personal information for all firm owners with at least 25% ownership (including their names, dates of birth, tax identification number or equivalent, emails, phone numbers and home addresses); and (vi) agree to the Clio Payments terms available here, upon activation of Clio Payments. For Eligible Subscribers, being in good standing with Clio means that such Subscriber is up to date on all necessary payment obligations owed to Clio on an eligible paid subscription and is otherwise compliant with all obligations that it owes to Clio pursuant to the ToS and otherwise.

The Offer is subject to the following requirements (the “Offer Requirements”), and by accepting the Offer, you acknowledge and agree to all Offer Requirements:

  1. You must be an Eligible Subscriber, as determined by Clio in its sole discretion.
  2. The Offer is for Eligible Subscriber only and may not be transferred to any other person whatsoever and may not be substituted.
  3. Payments Activations made prior to, or after, the Offer Period, will not be eligible for the Offer.
  4. The Application Form must be received before the end of the Offer Period in order for the applicable Payments Activation to be eligible for the Offer, which will be determined by Clio in its sole discretion.
  5. Any payments processed beyond the Limit will have the standard merchant processing rate applied to such transaction(s), as such rate is determined by Clio in its sole discretion, even if the processing occurs within the Offer Period.
  6. On the calendar day immediately following the end of the Fee-Free Period, all subsequent payments processed will have the standard merchant processing rate applied to such transaction(s), as such rate is determined by Clio in its sole discretion.
  7. Eligible Subscriber must only process payments in Clio Payments for the purposes intended. Processing of non-commercial transactions unrelated to the payment of client invoices or collection of funds to be held in trust, as determined by Clio in its sole discretion, will result in the immediate termination of the Offer and all free payment processing will immediately cease. You agree that Clio may charge a one-time processing fee for any non-commercial transactions discovered, at a processing rate as noted by your account manager, against the total balance of the transactions.
  8. Clio is not responsible for Stripe’s failure to authorize a Stripe Connected Account for Eligible Subscriber, nor if Stripe fails to complete a processed payment during the period of free payment processing.
  9. In the event of a dispute, Clio is the sole authority on determining eligibility for the Offer.
  10. Only Eligible Subscribers who reside in the United States (including Puerto Rico), Canada (except Quebec), Ireland, or the United Kingdom, and are of legal age in their jurisdiction of residence, are eligible for this Offer. This Offer is not available to subscribers located in Australia.
  11. If an Eligible Subscriber enables or requests that surcharging functionality be enabled on their account at any time, the Offer will be immediately terminated and standard merchant processing rates will apply. If an Eligible Subscriber receives or has received a custom processing rate from Clio, the Offer is not valid.
  12. These Terms are governed by the laws of British Columbia. All applicable federal, state, provincial, and local laws and regulations apply. Void where prohibited or restricted by law. PURCHASE NECESSARY. THIS PROMOTION CANNOT BE STACKED OR USED IN COMBINATION WITH ANY OTHER PROMOTION, DISCOUNT, OR OFFER BY CLIO, UNLESS EXPRESSLY PERMITTED BY CLIO. All federal, state, provincial, and local taxes and any expenses not specified herein are your sole responsibility.
  13. Misrepresentation or abuse will result in disqualification for this Offer at the sole discretion of Clio. Clio is not liable for any loss or damage as a result of participation in or acceptance of this Offer, nor inability to claim this Offer due to technical issues on the part of the potential Eligible Subscriber. Clio reserves the right to amend these Terms at any time or to terminate the Offer without notice, with changes communicated to you in writing if, and as, applicable. Any term or condition set out in these Terms, to the extent that it conflicts with any local laws or regulation is void and unenforceable to the extent, and only to the extent, to which it is prohibited or restricted.
  14. BY ACCEPTING THE OFFER, YOU WAIVE ALL RIGHTS TO BRING (AND COVENANT NOT TO BRING) ANY CLAIM AGAINST CLIO OR ANY OTHERS ASSOCIATED WITH THIS OFFER. YOU FURTHER AGREE TO RELEASE AND HOLD HARMLESS CLIO FROM ANY AND ALL LIABILITY ARISING FROM YOUR ACCEPTANCE OF THE OFFER, OR CLIO’S USE OF ANY OF YOUR INFORMATION IN CONNECTION HEREWITH.
